Terms of Service

1. DEFINITIONS

The following definitions apply throughout these Terms of Service:

• "Account": The Creator’s individualized and dedicated space on the Platform.
• "Buyer": Any individual aged 18+ who purchases access to a File.
• "Creator": Any individual aged 18+ who uploads and sells Files through the Platform.
• "File": Any digital content (photo, video, document) processed by the Platform.
• "Payment Link": The unique web page from which a File can be accessed and downloaded upon payment.
• "Platform": The PayUnlock.me website and all associated services.
• "User": Any Creator or Buyer using the Platform.
• "We/PayUnlock": PayUnlock (proprietorship, Spain). Statutory provider identification is available in our Legal Notice.
• "Intellectual Property Rights": Any registered or unregistered rights, including patents, trademarks, designs, copyrights, related rights, sui generis rights and equivalent protections.
• "Data Protection Laws": EU GDPR (Regulation (EU) 2016/679), UK GDPR where applicable, and Spanish data protection law.

Unless the context requires otherwise, singular includes plural and vice versa.

2. PURPOSE AND SCOPE

PayUnlock.me is a technology service that allows Creators to upload digital Files and make them accessible to third parties via a unique URL in exchange for payment.

These Terms regulate the conditions under which Files are uploaded, sold, and downloaded, and provide a general legal framework for all Users.

PayUnlock acts solely as a technical and digital service provider enabling Creators to monetize their content. We are not a payment intermediary nor an editorial content publisher.

3. ACCEPTANCE AND CHANGES

Access to and use of the Platform is subject to prior acceptance of these Terms:

• Creators accept these Terms by creating an Account.
• Buyers accept these Terms by accessing a Payment Link and making a purchase.

If a User refuses to accept these Terms, they must not access or use the Platform.

Changes to These Terms

We may modify these Terms and/or the Platform for legal, technical, or business reasons, to add or improve features.

We will notify Creators via email of material changes. Unless required by law or due to unforeseen imminent risk, changes will not apply until after a fifteen (15) day notice period.

Within that period, Creators may terminate these Terms by written notice. Absent termination, Creators are deemed to agree to the changes. Changes do not apply retroactively unless required by law or beneficial to Users.

4. AGE VERIFICATION AND LEGAL CAPACITY

ONLY USERS 18+ MAY USE THIS PLATFORM.

By using PayUnlock.me, you represent and warrant that:

• You are at least 18 years old
• You have full legal capacity to enter into a binding agreement
• You are not subject to any legal restriction that prevents you from using the Platform
• All information you provide is true, accurate, and complete

4.1 Identity Verification (KYC) for Creators

All Creators must complete identity verification before uploading content.

This requirement serves multiple purposes:

• Age verification: Ensuring all creators are 18+
• Platform safety: Preventing fraud, identity theft, and illegal activities
• Legal compliance: Meeting anti-money laundering (AML) and know-your-customer (KYC) obligations
• Trust and accountability: Creating a safer environment for all users

The verification process requires:

• Submission of a government-issued photo ID (passport, national ID card, or driver's license)
• Document must be valid, legible, and show your photo, full name, date of birth, and expiration date
• Processing typically completes within 24-48 hours

Verification outcomes:

• Approved: Full access to upload and sell content
• Rejected: Unable to upload content; may resubmit with clearer documentation
• Pending: Under review; uploading disabled until completion

Failure to complete verification, providing false documents, or attempting to circumvent this process will result in immediate account termination and forfeiture of any pending earnings.

5. CREATOR COMMITMENTS AND WARRANTIES

5.1 General Commitments

Each Creator agrees to:

• Be 18+ and legally capable
• Prevent unauthorized access to the Account
• Avoid actions that damage or disrupt the Platform
• Provide true, accurate information
• Not create fake accounts or use a false identity
• Not harm PayUnlock’s reputation
• Respect third-party rights and applicable laws
• Use the Platform fairly and without attempting fraud or system overload
• Use the Platform solely for its intended purpose
• Not exploit these Terms or provided technologies to compete with PayUnlock

5.2 Consent Requirements

You represent and warrant that:

• You obtained consent from all persons appearing in the content, acknowledging the nature and purpose of the content
• You obtained consent for public distribution on the Platform
• You obtained consent for download by Buyers
• You own all necessary rights and permissions to upload, share and commercialize the File
• The File does not infringe any third-party Intellectual Property Rights

5.3 Strictly Prohibited Content

The following content is STRICTLY PROHIBITED and will result in immediate termination and reporting to authorities:

• Child sexual abuse material (CSAM) and any involvement of minors
• Incest
• Bestiality
• Rape or any non-consensual sexual conduct
• Human trafficking or sexual exploitation
• Abuse, exploitation, or violence
• Content infringing Intellectual Property rights
• Content violating any applicable law

We will report illegal content we become aware of to competent authorities (e.g., Guardia Civil/Policía Nacional, Interpol, FBI) as applicable.

5.4 Other Prohibited Activities

It is also strictly prohibited to:

• Disrupt, suspend, slow down, or hinder the Platform
• Intrude or attempt to intrude into PayUnlock systems
• Impose disproportionate load on infrastructure
• Violate security and authentication measures
• Harm PayUnlock’s financial, commercial, or moral interests
• Copy or misappropriate the Platform or its infrastructure
• Divert the Platform from its intended purpose
• Use fraudulent payment cards
• Store, receive, or distribute information in violation of applicable law

6. INDEMNIFICATION

Creator agrees to indemnify PayUnlock against any third-party claim based on violation of any applicable rule related to Files, including:

• Personal rights
• Data protection rights
• Intellectual Property Rights (including database rights)
• Contractual rights

Creator will bear the financial burden of handling such claims and any damages awarded, holding PayUnlock harmless from any payments, penalties, or judgments.

7. PAYMENTS AND FEES

7.1 Payment Processing

Payments are processed by Stripe and are subject to Stripe terms: https://stripe.com/legal/ssa and https://stripe.com/legal/connect-account.

Users must provide accurate payment information and authorize PayUnlock to share relevant information with Stripe for transaction processing and fraud prevention.

7.2 Platform Commission and Fees

PayUnlock operates as a Merchant of Record. A 20% platform commission is applied to the base price set by the Creator. The Creator receives 80% of the base price as net earnings. Payment processing fees and VAT (where applicable) are handled transparently by the platform and collected from the Buyer. The Creator's net earnings (80% of the base price) are shown in the Creator Dashboard before publishing.

Minimum Price Requirement:

To ensure sustainable operations and cover payment processing costs (which include a fixed fee per transaction plus a percentage), Creators must set a minimum price of €5.00 per File. This minimum ensures that:

• Payment processor fees (approximately 2.9% + €0.25 per transaction) can be adequately covered
• The platform can maintain quality service and infrastructure
• Creators receive meaningful earnings from their content

The maximum price per File is €1,000.00.

7.3 Payouts to Creators

Payouts may be delayed if invalid or outdated payout details are provided. Receipts are issued upon payment.

7.4 Fraud and Withholding

We may withhold pending payouts if suspicious activity, fraud, or Terms violations are detected. Funds may be permanently forfeited upon confirmed violation.

8. BUYER RIGHTS AND OBLIGATIONS

8.1 Access to File

Buyers may download a File from a Payment Link shared by the Creator after paying the displayed price, which includes:

• The File price set by the Creator
• Applicable taxes

After payment confirmation, the Buyer can download the File. The Buyer has 10 days to download it. Each File can be downloaded once per Payment Link.

8.2 No Right of Withdrawal (Digital Content)

IMPORTANT: The sale provides immediate access to digital content. Under EU consumer law (e.g., Directive 2011/83/EU and its Spanish transposition), once access begins, Buyers do not have a right of withdrawal.

BY PURCHASING A FILE THROUGH PAYUNLOCK, YOU EXPRESSLY CONSENT TO THE IMMEDIATE PERFORMANCE AND ACKNOWLEDGE YOU WILL LOSE YOUR RIGHT OF WITHDRAWAL.

8.3 Permitted Use

The File and its content remain the exclusive property of the Creator. Subject to a limited license for personal use, nothing transfers any Creator Intellectual Property Rights, including rights to sublicense, lend, rent, distribute, commercialize, or resell.

Buyer agrees to:

• Provide accurate information
• Not use fraudulent payment methods
• Not request refunds for subjective dissatisfaction where the File matches its description (Creators are solely responsible for content)
• Not access Files known to contain illegal content

9. LIABILITY AND LIMITATION

9.1 PayUnlock’s Role

Users acknowledge PayUnlock is a technical hosting/service provider and its responsibility is limited to providing the technological services set forth in these Terms.

Users acknowledge the Platform is a connected digital service that may be disrupted due to:

• Technical failures beyond our control
• Maintenance operations
• Orders from competent authorities
• Notices of manifestly illegal content

We are not liable for causes outside our control, including:

• Loss of Creator credentials
• Buyer loss of the File
• Rights infringements related to Files
• Inaccurate information supplied by Users
• Buyer misunderstanding of File conditions
• Device or Internet malfunctions
• Force majeure

9.2 Hosting Provider Role

As a digital service provider, we host Files uploaded by Creators. We do not pre-screen each File and are not liable for illegal content unless we obtain knowledge under applicable law (e.g., Spain’s LSSI-CE) and fail to act expeditiously.

This includes any dangerous, prohibited, illegal, defamatory, infringing or offensive content.

Users are informed we may use automated third-party tools to detect illegal content. Files may be transmitted to third-party providers for this purpose.

9.3 User Responsibility

Each User is solely responsible for direct or indirect damages caused by their use of the Platform, including:

• Damage to their information systems
• Loss of their data
• Non-compliance with data protection rules
• Non-compliance with Intellectual Property rules
• Violation of contractual rights of any nature

Creators are solely responsible for any damage arising from the Files or their content.

9.4 Disclaimer of Warranties; Limitation of Liability

THE PLATFORM IS PROVIDED “AS IS” WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL PAYUNLOCK BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. INTELLECTUAL PROPERTY

10.1 PayUnlock IP

The Platform and all components (software, infrastructure, databases, content such as text, images, visuals, logos, trademarks) are protected by Intellectual Property Rights.

We grant Users a personal, non-exclusive, non-transferable, non-sublicensable license to use the Platform. No ownership transfers.

10.2 Creator IP

Regarding Files, we recognize and agree we hold no Intellectual Property Rights other than the limited license necessary to operate the Platform.

Creator warrants they hold all rights necessary to upload/share the File and that it does not infringe third-party rights.

10.3 License Granted to PayUnlock

For operation of the Platform, Creator grants PayUnlock a limited license solely to operate, enable, and improve the Platform, generate Payment Links, and enable Buyer downloads.

This right is granted for the duration of the Creator’s Account, worldwide, and includes:

• The right to reproduce Files as-is by any means and on any media
• The right to represent or make available by any means, including over the Internet
• The right to modify Files (e.g., scaling, cropping) to fit technical media constraints

11. TERM, SUSPENSION AND TERMINATION

11.1 Duration

From acceptance, these Terms apply for the following periods:

• Creators: From Account creation until closure
• Buyers: From first access to the Payment Link until the File is downloaded

11.2 Suspension

Access may be suspended in case of exceptional events (technical failure, security issue) or suspected/confirmed breach of these Terms.

We may immediately suspend access in cases including:

• Failure to comply with obligations under these Terms
• Payment incidents regarding sums owed to PayUnlock
• Security violation or fraud
• Upload of prohibited or illegal content
• Abusive behavior toward others or PayUnlock
• Repeated content policy violations

11.3 Termination

Users may terminate these Terms at any time by emailing info@payunlock.me with subject “Termination of Terms of Service”.

Termination is immediate and results in Account deletion for Creators, subject to obligations already incurred (e.g., amounts owed).

11.4 Repeat Infringer Policy

We may terminate, in appropriate circumstances and at our discretion, Users deemed to be repeat infringers:

• First offense: Warning and content removal
• Second offense: Temporary suspension (7–30 days)
• Third offense: Permanent termination and forfeiture of pending payouts

IMPORTANT: Uploading illegal content (CSAM, rape, minors, etc.) will result in IMMEDIATE termination on first offense, reporting to authorities, and forfeiture of funds.

12. DATA PROTECTION

Parties commit to comply with GDPR/UK GDPR and Spanish data protection law and be able to demonstrate compliance.

PayUnlock is the data controller for personal data processed in connection with these Terms. See our Privacy Policy for details.

Regarding personal data contained within Files, we act as a processor; responsibilities are limited accordingly.

13. GOVERNING LAW AND JURISDICTION

13.1 Applicable Law

These Terms are governed by the laws of Spain.

13.2 Competent Courts

For disputes arising out of or related to these Terms, parties submit to the exclusive jurisdiction of the courts of Barcelona, Spain, without prejudice to mandatory consumer protections.

13.3 Alternative Dispute Resolution

EU consumers may use the Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr

14. MISCELLANEOUS

14.1 Severability

If any provision is held invalid due to a change in law or by court decision, the remainder remains effective.

14.2 Assignment

Users may not assign these Terms without our prior written consent.

14.3 No Waiver

Failure to enforce a provision shall not be deemed a waiver.

14.4 Entire Agreement

These Terms and our Privacy Policy, Cookie Policy, Content Policy, Refunds Policy, and DMCA Policy constitute the entire agreement regarding the Platform.
